This is a convenience translation. The official version of these Terms of Use is the Brazilian Portuguese version, which shall prevail in the event of any discrepancy.

How this platform works

We have done our best to reduce and simplify the rules of our platform. That is why we have set out below the most important points for you, which can also be read in full and in detail in the Terms of Use that follow.

In addition, we are always available to answer any questions you may have through the website https://www.groselia.com/pt, by phone at (11) 95931-2868, and by email at pedro@groselia.com and danilo@groselia.com.

What do we do? Groselia is a content marketing automation platform for social media. We use artificial intelligence (AI) to create, schedule and publish content on Instagram, Facebook and Threads for client companies, along with tracking and analysis of the performance metrics of the posts.

The information used by Groselia is exclusively that which is voluntarily provided by the User, such as your name, content, images, texts and brand information entered into the platform. This data is shared exclusively with Meta and the AI providers (OpenAI, Anthropic, ElevenLabs), our technology partners responsible for enabling Groselia to function, and solely for the purposes of generating content and post schedules and providing the contracted services.

How does our platform work? You sign up, connect your social media accounts (via official Meta API login), set up your campaigns and let the system work. Groselia creates the content with AI, you approve it, and the platform publishes it automatically at the scheduled times. You keep track of everything through the metrics dashboard.

Is use of our platform paid? Our platform is licensed for a fee. Groselia offers monthly subscription plans. Subscription fees, the tools made available, benefits and renewal conditions are clearly disclosed at the time of purchase.

To process payment-related information, your data will be sent via API and routed through the independent Stripe platform, which is the institution responsible for processing payments. We will not have access to your banking data, and we use this third-party platform so that they can guarantee the security of financial transactions, since we could not do so on our own. We also recommend that you read Stripe's Terms of Use and Privacy Notice.

Can these terms be changed? Our Terms of Use may change, but you will always be able to access the most up-to-date version on our platform. In addition, if we are going to take any action that requires your authorization by law, you will receive a notice beforehand so you can accept or decline it.

What happens to personal data? We have a Privacy Notice that explains what we do with your personal data. It is very important that you read and understand that document as well!

Groselia.

This platform, named Groselia, is owned and maintained by ARGIBEE COMÉRCIO E CONSULTORIA EM TI LTDA., a private legal entity registered with the CNPJ/ME under No. 65.129.849/0001-05, headquartered at Rua SĂŁo JerĂŽnimo dos PoçÔes, nÂș 769, Vila Mirante, SĂŁo Paulo/SP, CEP: 02.955-030.

This document is intended to provide information about how the platform and its tools are used by Users, as well as the conditions, terminology, rights and obligations involved. We advise that the entire text be read carefully and that, if you do not agree with the content of our terms and/or privacy notice, you should not proceed to browse or use our services.

2. Explanation of technical terms or terms in a foreign language

2.1. Below are the meanings of technical terms and terms in the English language.

API (Application Programming Interface): a set of protocols and tools that enables automated communication between distinct software systems. Groselia uses Meta's official APIs to publish content and collect metrics on behalf of Client Users.

Campaign: A set of posts planned and scheduled on the Groselia platform for publication on the Client User's social media, which may include text, images, videos and other content formats.

Dashboard: The platform's visual interface where the Client User tracks campaigns, publishing calendars, performance metrics and manages their account settings.

Artificial Intelligence (AI): technology that enables machines to process information, identify patterns, make decisions, solve problems and adapt to new situations based on large volumes of data, often without direct human intervention. AI seeks to replicate, expand and enhance human cognitive abilities, using techniques such as machine learning, neural networks and natural language processing.

Login: The process that allows access to a computer system, controlled through the identification and authentication of the User by means of credentials provided by that same internet user.

Online: An English-language term whose literal meaning is “on line.” It is commonly used to indicate that a given User of the internet or another computer network is connected to the network.

Access Token: A temporary digital credential generated by Meta and voluntarily provided by the Client User when connecting their social media accounts to the Groselia platform, authorizing the publication of posts and the collection of performance data on their behalf.

User(s): the individual(s) or legal entity(ies) who register on the platform and use our services.

Virus: Malicious software that infects systems and computers with the aim of causing some kind of damage; it makes copies of itself and attempts to spread to other computers using various means.

2.2. The types of Users of the platform are:

Client User: An individual or legal entity that hires Groselia to automate the creation and publication of content on their social media, approving campaigns, managing the publishing calendar and tracking performance metrics.

Administrator User: An employee or collaborator of Groselia, responsible for managing client accounts, configuring the platform, providing support and administering internal operations.

These Users, collectively, will be referred to simply as Users.

3. Services

3.1. What we are: Groselia is a digital content marketing automation platform that offers the following services:

3.1.1. Automated creation of content for social media (text, images and other formats) using Artificial Intelligence technologies, based on the information, preferences and brand identity provided by the Client User;

3.1.2. Scheduling and automatic publication of content on the Client User's Instagram, Facebook and Threads accounts, through Meta's official APIs, after connectivity authorized by the User itself;

3.1.3. Management of the editorial calendar, allowing the Client User to view, approve, edit and organize scheduled posts;

3.1.4. Presentation of performance metrics and analytics for posts made on connected social media accounts, based on data made available by Meta's APIs;

3.1.5. Technical support to the Client User through the platform's official channels.

3.2. Groselia is not an advertising agency, strategic marketing consultancy or human-operated social media management service, and is not responsible for:

3.2.1. Any specific business outcome, such as follower growth, increased sales, lead generation or return on investment resulting from use of the platform, since these outcomes depend on factors external to the platform;

3.2.2. Management, moderation of, or response to comments, direct messages or interactions on the Client User's social media accounts;

3.2.3. Paid boosting (paid traffic) or ad management on Meta's platforms or on any other social media.

3.3. The Client User is fully autonomous in deciding what content to publish. Groselia provides AI-generated tools and suggestions, but final approval of the content is always the exclusive responsibility of the Client User.

3.4. By using Groselia, the User acknowledges and agrees that:

3.4.1. All of their actions and decisions are made freely and autonomously, without any influence, direction or interference from Groselia;

3.4.2. The responses and guidance provided by Groselia are generated automatically by Artificial Intelligence algorithms, without human intervention, and may vary depending on context and are subject to technical, interpretive and comprehension limitations, and are therefore not entirely accurate or free of errors.

3.4.3. The information, messages, images and content provided to Groselia may be processed and stored by third parties, including, but not limited to, Meta and the AI providers (OpenAI, Anthropic and ElevenLabs), in accordance with the terms of use, privacy policies and other documents applicable to each of these services.

3.4.4. Groselia is responsible for the development and configuration of the AI integrated into the platform and, for that reason, acts solely as an integrator of the solution, having no technical or operational control over the processing, storage, security or any sharing of data carried out by those third parties. Accordingly, Groselia is not responsible for damages, losses or consequences arising from such operations, which are outside its sphere of control.

3.5. It is hereby clarified that this service does not establish any employment, corporate or associative relationship between the parties, with each party remaining solely responsible for all of its respective expenses and charges, whether of a labor, social security, tax, insurance, civil, criminal or any other nature.

3.6. Groselia is not responsible for any failures, unavailability or inconsistencies arising from external integrations, such as Meta or the technology infrastructures of independent providers.

3.6.1. It is the User's responsibility to ensure that integrated systems are properly configured, up to date and operational, as well as to periodically verify the consistency of synchronized information.

4. User registration

4.1. The following information is required to register for and use Groselia's services:

4.1.1. Client User: full name, email, phone number, CPF, billing information and billing address, access password, and the authorization credentials (access tokens) voluntarily granted when connecting their Instagram, Facebook and Threads accounts via official Meta login. The content, images, texts and brand information that the client enters into the platform are also collected. For Client Users that are legal entities, the corporate name and CNPJ will also be collected.

4.1.2. Administrator User (Groselia team): full name, corporate email and access credentials.

4.2. Each User will set their own login and access password, and shall be solely responsible for keeping this information confidential. Groselia is not responsible for any actions or damages that may be caused by unauthorized third-party access to the account.

4.3. Each contracting company will have its own exclusive corporate account, linked to its respective CNPJ and to the designated Client User.

4.3.1. Groselia does not interfere with the assignment of access rights or the party responsible for the profile as defined by the company; it is up to the Client User to ensure that access rights are kept up to date and duly changed when necessary.

4.3.2. It is the sole responsibility of the contracting company to manage and oversee the access granted to the Client User, releasing Groselia from any liability for misuse or unlawful or fraudulent activities carried out by such Users.

4.4. Only one (1) account may be created per User.

4.5. During the contracting, billing and account maintenance stages, information strictly necessary for the performance of the contract may be collected, such as: billing cycle and payment history; payment method data (processed by a third party); and any transaction receipts.

4.5.1. When required by tax, regulatory or contractual obligations, information about the company's legal representative, such as full name and CPF, may be requested solely for the issuance of tax or official documents.

4.5.2. Financial data is transmitted securely and used only for billing purposes, payment management and compliance with legal obligations; Groselia does not have access to complete banking information, which remains the responsibility of the third-party payment institution.

4.6. Registration on the platform is permitted only for persons over 18 (eighteen) years of age or for emancipated Users, in accordance with applicable law. By accepting these Terms, the User declares that they are fully capable of exercising all acts of civil life.

4.7. Users are responsible for providing true, accurate and up-to-date information.

4.8. Groselia may terminate the contract with the Client User, suspend its services, or refuse or cancel a Client User's access account without prior notice whenever it suspects that the information provided is false, incomplete, outdated or inaccurate, or in cases of non-payment, in the cases set out in applicable laws and regulations, in these Terms of Use, in the Privacy Notice or in any Policy.

5. Payment for use of the platform

5.1. Use of the Groselia platform is licensed for a fee, that is, subject to payment of amounts previously disclosed at the time of purchase. Before purchasing any plan or service, the User may check prices, plan types, billing frequencies and payment conditions directly on Groselia's website or through official support channels. In addition, prices, benefits and renewal conditions are clearly disclosed at the time of purchase.

5.2.1. Billing is recurring, based on the sign-up date, and may be canceled at any time, subject to the conditions set out in Clause 6.

5.2.2. Price Adjustments. Groselia may adjust subscription plan prices at any time, upon prior notice to the User of at least 30 (thirty) days, through the platform's official communication channels (email, user dashboard or other equivalent means). The adjustment will not affect periods already contracted and paid for. Continued use after the new price takes effect will be considered as the User's agreement to the adjustment. If the User does not agree with the new prices, they may cancel their subscription in accordance with the conditions set out in Clause 6.

5.3. To process payment-related information, your data will be sent via API and routed through the independent Stripe platform, which is the institution responsible for processing payments. We will not have access to your banking data, and we use this third-party platform so that they can guarantee the security of financial transactions, since we could not do so on our own. We also recommend that you read Stripe's Terms of Use and Privacy Notice.

6. Refund and cancellation by the user

6.1. Right of withdrawal: Groselia respects all of its Users' rights, in particular the right to withdraw from purchases made over the internet within 07 (seven) days of the purchase, as set out in the CĂłdigo de Defesa do Consumidor. After withdrawal is exercised, Groselia will refund all amounts, if any, paid by the User.

6.2. To cancel the platform's services, the User must submit a cancellation request through one of the following channels: by email to pedro@groselia.com or danilo@groselia.com, by WhatsApp at +55 (11) 95931-2868, or through the cancellation option available in the account settings on the platform dashboard.

6.2.1. Cancellation does not entail any penalty and takes effect only at the next renewal, provided the request is made before the next billing date. For example, if renewal occurs on the 20th, the request must be made by the 19th of the same month to avoid a new charge.

6.2.2. Requests made on the same day as the charge do not generate a refund, and access to the platform will be maintained until the end of the period already paid for.

6.2.3. Cancellation does not entitle the User to a refund or proportional reimbursement of amounts already paid, even if the User stops using the platform before the end of the contracted term.

6.2.4. The platform's services do not have a minimum commitment period, and the User may cancel at any time, subject to the conditions and deadlines established in this clause.

6.2.5. Groselia may terminate or suspend the User's account in the event of non-compliance with these Terms of Use, non-payment or misuse of the platform, upon prior notice. In the event of a serious violation or risk to the security of the platform or third parties, termination or suspension may occur immediately, regardless of prior notice.

6.3. Cancellation for Non-Payment. Failure to pay any amount owed by the User may result in the automatic suspension of access to the platform, without the need for prior notice, until the outstanding amount is settled.

6.3.1. If non-payment persists for more than 7 (seven) consecutive days, Groselia may automatically terminate the contract, with the permanent removal of the integrations.

6.3.2. Cancellation due to non-payment does not entitle the User to a refund of amounts already paid, nor does it eliminate the obligation to pay any installments due up to the date of termination.

6.4. Cancellation of the connection for reasons beyond Groselia's control. In certain situations, the automatic integration between the User's Meta access and Groselia may be interrupted, limited or canceled for reasons that do not depend on Groselia's actions or control. In such cases, Groselia cannot be held liable for the resulting unavailability, data loss, disruption of workflows or any operational impact. Examples of such situations, without prejudice to others of the same nature, include: (i) Banning, suspension or cancellation of the User's account by Meta; (ii) Cancellation by the Client User; (iii) Systemic unavailability of partners and providers essential to the operation of the Groselia platform, such as: Meta, OpenAI, Anthropic, ElevenLabs and others; (iv) Situations of fortuitous event, force majeure, and other events beyond Groselia's control, such as: cyberattacks, security incidents, among others.

7. Responsibilities of the parties

7.1. Groselia's responsibilities:

7.1.1. To provide the services covered by these Terms of Use in accordance with the contracted features, making reasonable technical and administrative efforts to ensure the availability, stability and security of the platform;

7.1.2. To correct any failures or interruptions identified on the platform within reasonable timeframes, subject to the technical and operational limitations inherent to software-based services;

7.1.3. To inform Users about material changes to services, policies, plans or features, through notices within the platform itself, by email, or through other official communication channels;

7.1.4. To adopt information security and personal data protection measures compatible with the risks associated with the processing involved and in accordance with its Security Policy and Privacy Notice, in compliance with Lei nÂș 13.709/2018 (LGPD);

7.2. Users' responsibilities:

7.2.1. To use the platform in accordance with the usage criteria set by Groselia, without altering its programming, cracking passwords or carrying out procedures that may cause harm to Groselia or other Users;

7.2.2. To be responsible, for all purposes, including legal purposes, for the content of the information they enter and for the commitments they undertake on the platform;

7.2.3. To fully comply with these Terms of Use, the Privacy Notice, applicable law and any contracts between the parties;

7.2.4. To refrain from using the Platform for purposes other than those set out in these Terms of Use, in particular for sending improper messages, generating or promoting unlawful or offensive content, or any act that may infringe third parties' intellectual property, privacy, honor or image rights;

7.2.5. To immediately notify Groselia of any suspected misuse, unauthorized access, data leak or security flaw related to their account or the Platform;

7.2.6. To be responsible, for all purposes, including legal purposes, for the content of the information and personal data they enter and for the commitments they undertake with Groselia;

7.2.7. To assume full responsibility for the collection and processing of third parties' personal data and information that they enter into the platform.

7.2.8. To keep confidential their credentials, passwords, devices and other means of accessing Groselia, and to be responsible for all interactions carried out through their account;

7.2.9. To assume full responsibility for any conduct and procedures they may adopt, releasing Groselia from any direct or indirect liability for any decisions made based on information obtained through the Platform;

7.2.10. To be solely liable for any damages, losses or liabilities of any nature arising from the improper or inadequate use of the content and tools made available by Groselia, including before third parties and regulatory bodies.

8. Groselia's disclaimer of liability

8.1. Groselia acts as a technology platform for the integration and automation of content production, marketing strategy and publishing via Meta's official API, and does not assume direct responsibility for the commercial interactions, business decisions or communications carried out by Users within or outside the platform environment.

8.2. Groselia is not responsible for:

8.2.1. Temporary unavailability or interruptions of the platform that do not result directly from a failure of its infrastructure, including fluctuations or interruptions in network services, power, data centers or third-party infrastructure;

8.2.2. Failures, unavailability or damages arising from external factors, such as internet network interruptions, failures in integrated third-party services or APIs (for example, Meta, AI providers, cloud services or payment gateways), as well as acts or omissions attributable exclusively to the User or to third parties;

8.2.3. Conduct, communications or decisions made by Users, including non-compliance with legal, contractual or regulatory obligations, or the inadequate use of information obtained through the platform;

8.2.4. The entry of false, incomplete, inaccurate or outdated information by Users, as well as the improper use, or use without a legal basis, of personal data belonging to Users or third parties;

8.2.5. Damages or losses arising from misuse of the platform, non-compliance with these Terms of Use, the Privacy Notice, applicable law, or judicial or administrative orders;

8.2.6. Damages and/or losses suffered by Users as a result of cyberattacks, viruses, malware, malicious interactions or any actions by third parties that are beyond Groselia's reasonable technical control, even if they cause damage to Users, their devices or their accounts;

8.2.7. Fortuitous events or force majeure, as defined under Brazilian civil law, including natural events, widespread failures of third-party systems, strikes, government actions, cyberwarfare or other unforeseeable and unavoidable situations;

8.2.8. Unlawful acts, fraud, misleading communications, abusive or anti-competitive practices carried out by Users while using the platform, with the commercial and marketing conduct adopted being their sole responsibility;

8.2.9. The entry of false, incorrect or outdated information by Users into the AI, as well as any legal, ethical or professional consequences arising from such practice.

8.3. Groselia also does not guarantee specific results, increased sales, business performance or lead conversion, since the effectiveness of the marketing strategy depends on external factors, such as the quality of the integrations, the relationship strategies adopted by the User and consumer behavior.

8.3.1. We also emphasize that Groselia, despite being sophisticated, may produce inaccurate responses, hallucinations, improper conclusions and irregular recommendations. Users must therefore check them and understand that the AI is intended to facilitate tasks, but the decisions remain the User's own.

9. Rules of conduct and prohibitions

9.1. Users may not:

9.1.1. Infringe the rights of Groselia, the platform's operators, other Users, or third parties, or act in any way that could contribute to such a violation;

9.1.2. Access, alter, copy, modify or improperly interfere with the platform's infrastructure, code, APIs, databases, routines or integrations, including through reverse engineering, unauthorized automation, command injection or exploitation of vulnerabilities;

9.1.3. Use the platform for unlawful purposes, to spread abusive, discriminatory, offensive or misleading messages, spam, phishing, chain messages, unsolicited political or advertising campaigns, or to distribute content that infringes third parties' rights, legal rules, court decisions or public policies;

9.1.4. Enter false, outdated, incomplete or illegitimately obtained data, including third parties' personal information without an adequate legal basis under Lei nÂș 13.709/2018 (LGPD);

9.1.5. Hold Groselia liable for the conduct of Users registered on the platform or of third parties;

9.1.6. Transfer, sublicense, resell, assign or share access to the platform, in whole or in part, without Groselia's express authorization;

9.1.7. Hold Groselia liable for conduct or content sent by other Users, for business decisions made based on data processed on the platform, or for any acts carried out outside its technical environment;

9.1.8. Use Groselia to circumvent the policies of integrated platforms, such as Meta or third-party APIs, including attempts to collect data without consent or practices that could result in the blocking, suspension or banning of linked accounts.

9.2. Groselia may, at its sole discretion, block, restrict, disable or prevent any User's access to the platform whenever improper conduct is detected, without the need for prior notice or any right to compensation of any kind.

9.2.1. Groselia may, at its sole discretion, terminate the service agreement without cause, upon express written notice to the User, with 30 (thirty) days' advance notice.

9.2.2. In serious or repeat situations, Groselia may terminate the service agreement immediately and permanently, without any right to a refund, indemnification or compensation, regardless of prior notice.

10. Intellectual property

10.1. Ownership and the rights relating to the platform belong exclusively to ARGIBEE COMÉRCIO E CONSULTORIA EM TI LTDA. Access to the platform and its regular use by the User do not confer any right or prerogative over the intellectual property or other content contained therein.

10.1.1. Images uploaded by the User remain the property of the User, but the User grants ARGIBEE COMÉRCIO E CONSULTORIA EM TI LTDA. a non-exclusive, royalty-free, worldwide license to process them and generate the resulting outputs.

10.2. All content on the platform, including name, brand, domain, software, databases, files, texts, drawings, photos, layouts, headers and other elements, was created, developed or assigned to ARGIBEE COMÉRCIO E CONSULTORIA EM TI LTDA, and is therefore either exclusively owned by, or licensed to, ARGIBEE COMÉRCIO E CONSULTORIA EM TI LTDA., and is protected by Brazilian law and international treaties governing intellectual property rights.

10.3. The following are prohibited: the exploitation, assignment, imitation, copying, plagiarism, reverse engineering, hacking attempts, storage, alteration, modification of features, expansion, sale, leasing, donation, disposal, transfer, or reproduction, in whole or in part, of any content of ARGIBEE COMÉRCIO E CONSULTORIA EM TI LTDA.'s platform.

10.4. Any person who violates the prohibitions set out in intellectual property legislation and in these Terms will be held civilly and criminally liable for the infringements committed, and may also be penalized on the platform.

11. Processing of personal data, privacy and security

11.1. Groselia has a specific policy governing the collection, storage and processing of personal data, as well as its security: the Privacy Notice. The Privacy Notice is inseparably part of these Terms, and it is emphasized that platform usage data will be retained in accordance with applicable law.

12. Consequences of access to the platform

12.1. Despite Groselia's best efforts to provide the best technologies to maintain online connectivity and synchronization and secure access for Users, technical difficulties, internet applications or transmission problems may result in inaccurate or incomplete copies of the information contained on the platform. In addition, computer viruses or other harmful programs may also be inadvertently downloaded from the platform.

12.1.1. Groselia recommends installing appropriate antivirus software or other protective measures.

12.2. Groselia reserves the right to unilaterally modify the platform, as well as its configuration, presentation, design, content, features, tools or any other element, including its discontinuation.

12.3. Our platform may contain links to third-party websites/platforms. When following a link, the User should review the privacy notices of those websites/platforms, as we accept no responsibility or obligation for those policies. Please review those policies before sharing any personal data with those websites.

13. Changes to the terms and conditions of use

13.1. Groselia may unilaterally add and/or modify any clause contained in these Terms of Use. The updated version will apply to use of the platform from the date of its publication onward. Continued access to or use of the platform after publication will confirm Users' acceptance of the new Terms of Use.

13.2. If the change made requires the User's consent, the User will be given the option to freely, unequivocally and knowingly accept the new text or to decline it.

13.3. If the User does not agree with the change, they may withhold consent for specific acts or may fully terminate their relationship with Groselia. However, such termination will not release the User from complying with all obligations undertaken under previous versions of the Terms of Use.

14. Applicable law and jurisdiction

14.1. The platform is controlled and administered in the city of SĂŁo Paulo, State of SĂŁo Paulo, Brazil, and may be accessed by any device connected to the Internet, regardless of its geographic location.

14.1.1. Persons who access or use Groselia from other countries do so on their own initiative and are responsible for complying with regional/national laws.

14.2. The User agrees that the law applicable for purposes of these Terms and Conditions of Use and the Privacy Notice shall be the law in force in the Federative Republic of Brazil.

14.3. Groselia and the User agree that the courts of SĂŁo Paulo, State of SĂŁo Paulo, Brazil, shall have sole jurisdiction to settle any question or dispute arising out of or resulting from use of the platform, expressly waiving any other jurisdiction, however privileged it may be or become.
